1. About these terms
These terms are an agreement between you and the operator of LayerAdapt (layeradapt.com), currently its founder, Ahmed ("LayerAdapt", "we", "us"). They apply when you use our website, join the early-access list, or use the LayerAdapt app. If you use LayerAdapt for a business, you confirm you are allowed to accept these terms for it, and "you" includes that business.
These terms work together with our Privacy Policy, Cookie Policy, Disclaimer and Data handling page. The full legal details of the business that operates LayerAdapt will be added before launch.
2. Early access
- LayerAdapt is in early access. Businesses join a waiting list and we invite them in stages. Joining the list does not guarantee a place.
- Features may change, be added or be removed, and parts of LayerAdapt may not work as expected. We will tell you about changes that affect how you work.
- No payments are taken during early access. If we introduce paid plans, we will tell you the price before you commit to anything (see section 10).
- We may end early access, or move it to general availability, with reasonable notice.
3. Accounts and workspaces
- You can create an account with your email address or your Google account. Before launch, a new account joins the early-access list, and a workspace opens when we approve it. A teammate can also invite you to their workspace.
- Give accurate information and keep your email address up to date, because we send important account messages there.
- Keep your password private and do not share your account. Each person should have their own account.
- Workspace owners decide who is invited and what each role can see and do. You are responsible for what happens in your workspace under your accounts, unless it was caused by our failure to take reasonable care.
- Tell us straight away at support@layeradapt.com if you think someone else has used your account.
4. Connecting your systems
LayerAdapt works on systems you connect: websites (by ZIP upload or FTP/cPanel access) and databases (MySQL or PostgreSQL). When you connect one:
- You confirm that you own it, or are authorized by its owner, to connect it and to let LayerAdapt read, process and, where you allow it, change it.
- You confirm you are allowed to process the data it contains in the way you use LayerAdapt, including any personal data about other people.
- You authorize LayerAdapt to access it with the details you gave, to the extent of the access mode you chose, and to act on the instructions of the people in your workspace.
- You understand that LayerAdapt does not automatically know what your systems contain, who owns them, or whether you are allowed to connect them, except for what you give it through the product.
What LayerAdapt accesses, stores and sends for each kind of connection is explained on the Data handling page.
5. Your responsibilities
You are responsible for:
- Authorization: having the right to connect and process every system and piece of data you connect (section 4).
- Credentials: keeping the passwords and keys for your LayerAdapt account, hosting and databases secure, and changing them if you think they have been exposed.
- Permissions: choosing what the FTP accounts and database users you give LayerAdapt can do, and choosing the LayerAdapt access mode. We recommend the most limited access that does the job.
- Backups: keeping your own backups of your website and database where appropriate, especially before publishing changes or allowing edits. LayerAdapt keeps versions of website files it manages, but this does not replace your own backups.
- Reviewing: checking what LayerAdapt prepares, and what its AI suggests, before you publish it, approve it or rely on it.
- Your team: who you invite and what roles you give them.
- The law: meeting the legal obligations that apply to your website, your data and your business, including privacy and cookie rules for your own website's visitors.
6. Acceptable use
You must not use LayerAdapt to:
- connect to, scan or change any system, website or database you do not own or are not authorized to use;
- break the law, infringe anyone's rights, or publish content that is illegal, deceptive or harmful;
- store or spread malware, or use LayerAdapt to attack or probe other systems;
- try to get around LayerAdapt's security, permissions, limits or other workspaces' separation, or access data you are not allowed to see;
- overload LayerAdapt, or use automated means to access it except as the product allows;
- copy, resell or offer LayerAdapt to others as your own service without our written agreement;
- use the AI features to produce unlawful or harmful content, or to mislead people.
If you find a security weakness in LayerAdapt, please tell us at support@layeradapt.com and do not exploit it.
7. AI features
- LayerAdapt uses AI (Anthropic's Claude models) to analyze website content on request, suggest names for database tables, and answer questions and propose changes through the assistant.
- AI output can be incomplete, out of date or wrong, even when it sounds confident. Treat it as a suggestion, check it, and do not rely on it alone for legal, financial, safety or other important decisions.
- Changes the AI proposes in a database are not made until a person with the right permission approves them. Website changes are not published until someone publishes them.
- You are responsible for what you publish, approve or decide based on AI output.
- What the AI receives is explained on the Data handling page. We do not use your content to train AI models.
8. Your content
- Your websites, databases, content and data remain yours. We do not claim ownership of them.
- You give us permission to host, copy, process, analyze, display and transmit your content only as needed to provide LayerAdapt to you, keep it secure, and support you. This permission ends when your content is deleted from LayerAdapt, except for what we must keep as described in our Privacy Policy.
- We do not look at your content except when needed to support you at your request, to keep LayerAdapt secure, to investigate misuse, or when the law requires it.
- Files LayerAdapt places on your hosting, including the small content file for dynamic pages, are yours to keep and use for your website, including after you stop using LayerAdapt.
9. LayerAdapt's software
LayerAdapt's software, design, name and logo belong to us. While you have access, we give you a personal, non-transferable right for you and your team to use LayerAdapt for your business under these terms. If you send us feedback or ideas, we may use them to improve LayerAdapt without owing you anything.
10. Fees and payment
- LayerAdapt is free during early access.
- If paid plans are switched on, prices and what each plan includes will be shown before you order, and you will only pay for a plan you choose.
- Payment is currently by bank transfer or invoice. Taxes may apply depending on where you are.
- Refund and cancellation terms will be published with paid plans, and do not reduce any rights you have by law.
11. Availability and changes
We work to keep LayerAdapt available and reliable, but during early access we do not promise any particular uptime. LayerAdapt may be unavailable during maintenance, updates or problems with our providers. We may change or improve LayerAdapt; if a change significantly reduces what you can do, we will tell you in advance where we reasonably can.
12. Suspension and ending
- You can stop using LayerAdapt at any time. You can delete your own account in your account settings, or ask us to close your workspace.
- We may suspend or limit access, where reasonable, if you break these terms, if your use puts other customers, LayerAdapt or third parties at risk, or if the law requires it. Where we can, we will tell you first and give you a chance to fix the problem.
- We may end your access with reasonable notice, for example if early access ends.
- When access ends, LayerAdapt stops connecting to your systems. What is deleted and what is kept is explained on the Data handling page. Websites prepared by LayerAdapt keep working with the last content saved on your hosting.
- Sections that by their nature should continue after the end, such as sections 8, 9, 14 and 16, continue to apply.
13. Third-party services
LayerAdapt relies on, and connects to, services run by others: your hosting company, your database provider, our server and email providers, Anthropic for AI and, if you use it, Google for sign-in. Those services have their own terms. We are not responsible for how they work, for their outages, or for changes they make, but we choose our own providers with care.
14. Liability
Our Disclaimer explains, in plain words, what LayerAdapt can and cannot promise and the limits of our liability. It forms part of these terms. In summary, and to the extent permitted by law:
- LayerAdapt is provided as it is and as available during early access, without promises that it will be error-free or meet every need.
- We are not liable for losses caused by things outside our reasonable control, including unauthorized connections made with your credentials, misuse of your accounts, incorrect configuration, failures of third-party services, or actions taken by you, your team or your connected systems.
- We are not liable for indirect or consequential losses, such as lost profits, revenue or business opportunities.
- Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, and nothing affects your rights as a consumer where consumer law applies.
To the extent permitted by law, you are responsible for claims made against us by others that arise from systems or data you connected without authorization, or from your breach of these terms.
15. Changes to these terms
We will update these terms as LayerAdapt develops, and before launch after review by a legal professional. We will tell account holders about important changes by email or in the product before they take effect. If you do not agree with a change, you can stop using LayerAdapt before it applies.
16. Governing law
The law and courts that govern these terms will be stated here before launch, once the business that operates LayerAdapt is formally set up. Until then, if a disagreement arises, please email us first; we will try to settle it fairly and quickly. Nothing here removes rights you have under the law of the country where you live.
